Acceptance and scope
These terms apply to your use of boirometric.com, operated by BoiroMetric Consulting LLC (“BoiroMetric,” “we,” “us” or “our”). By using the site, you agree to them. If you do not agree, do not use the site. The site describes our consulting services and provides general information and ways to contact us; it is not a substitute for a consulting agreement.
Eligibility and responsible use
Use this business site only if you can lawfully agree to these terms, or are authorized to act for the organization you represent. Do not use it to violate law or another person's rights; submit false or misleading information; send spam or malicious code; scrape or overload the site; bypass usage limits or security controls; or seek access to information not intended for you.
Inquiries and consulting engagements
Sending a form, receiving an automated recommendation, booking a call or discussing an assessment does not create a client relationship or obligate either party to undertake work. We may decline an inquiry. Any consulting services, scope, fees, confidentiality commitments and deliverables require a separate written engagement agreement, such as a master services agreement and statement of work. These website terms do not replace that agreement.
Site content and case studies
The articles, examples and other content are general information, not an assessment of your circumstances or professional, legal, accounting or financial advice. Our case studies are fictionalized, composite illustrations; they are not accounts of identifiable clients and do not promise similar outcomes. Verify information independently before acting on it.
Submissions and confidentiality
You retain ownership of the information you submit. You give us permission to receive, store, review and use it as reasonably needed to respond to your inquiry, prepare a proposal and operate the requested site feature, as described in the Privacy Policy. You confirm you are allowed to provide it. Public website forms and tools are not secure channels for confidential materials: do not submit proprietary information, sensitive personal or regulated data, credentials, financial-account or health information, or other restricted material. Submitting information does not create a confidentiality agreement; arrange an appropriate agreement before sharing sensitive business materials.
Optional AI-assisted and automated features
If you request an AI-tailored brief, the input you choose to provide may be processed by computational models and third-party processing infrastructure. Instant standard recommendations do not use a model. AI output can be inaccurate, incomplete or unsuitable for your circumstances and is informational only. It is not a consulting deliverable, professional, legal, accounting or financial advice, or a guarantee of any outcome. Do not rely on it for material business, financial or legal decisions without independent review by qualified people. Do not enter confidential, proprietary, sensitive personal, regulated, credential, financial-account, health or other restricted information. Automated features may have usage limits or be unavailable; their availability is not promised.
Intellectual property
The site's content, design, name and approved BOIROMETRIC branding belong to BoiroMetric or its licensors and are protected by applicable law. You may browse the site, share links and quote short passages with attribution for lawful, noncommercial purposes. Other copying, redistribution or use of the brand requires prior permission. These terms do not transfer any intellectual property rights to you.
Third-party services and links
External links, including Cal.com booking, take you to services we do not control. If you choose to book, your name, email and language may be included in the booking URL after you submit a form to prefill your appointment. Third parties have their own terms and privacy practices; review them before providing information. We are not responsible for their separate services to the extent permitted by law.
Availability and changes
We may update, suspend or discontinue site content or features, including automated tools, without guaranteeing uninterrupted access. We may restrict or terminate access when reasonably necessary to address misuse, security or legal requirements. We may revise these terms by posting a new version and date here; continued use after a change means you accept the updated terms where permitted by law.
Disclaimers
We aim to keep the site useful and accurate, but provide it and its informational content on an “as available” basis without warranties of uninterrupted service, accuracy, completeness or fitness for a particular purpose, to the extent permitted by law. Nothing here excludes warranties or rights that cannot legally be excluded. Separate consulting agreements govern any actual professional services.
Limitation of liability
To the extent permitted by law, BoiroMetric is not liable for indirect, incidental, special or consequential losses, including lost profits or data, resulting from use of this website or reliance on its informational content. Our total liability arising from website use is limited to the greater of US $100 or the amount you paid us specifically for access to this website in the preceding 12 months. This limit does not apply to liability that cannot legally be limited, including liability for intentional misconduct where applicable. It does not govern separate consulting engagements.
Your responsibility
You are responsible for your unlawful use of the site or violation of another person's rights. To the extent allowed by law, you agree to reimburse BoiroMetric for reasonable third-party claims and costs directly resulting from those actions, but not for losses caused by our own misconduct.
Governing law and disputes
These website terms are governed by the laws of the State of Minnesota, United States, without applying rules that would select another jurisdiction's law, except where mandatory consumer or privacy protections apply. Subject to those mandatory rights, disputes about these terms or site use will be brought in the state or federal courts serving Wright County, Minnesota, and the parties consent to those courts' jurisdiction. Please contact us first so we can try to resolve concerns informally.
General provisions
If a provision is unenforceable, the remaining provisions remain in effect. These terms and the Privacy Policy are the entire understanding about use of this website, not about consulting engagements. Our failure to enforce a provision is not a waiver of it. This site is available in English and French; if the texts differ, the English version controls to the extent permitted by applicable law.
